Mr. Johnson also advises clients on issues relating to the noticing of holders of publicly-traded securities, and handles the administration of out-of-court restructurings, including exchange offers, consent solicitations, rights offerings, and distributions.  Possessing a detailed familiarity with the Depository Trust Company and its processes, procedures, and customary practices, Mr. Johnson can assist our clients in developing cost-effective strategies and processes to administer even the most complex restructuring event.  Recognized as an innovator in his field, he revolutionized the administration of rights offerings to noteholders within chapter 11 by harnessing the DTC’s “ATOP” platform for the event thereby saving our clients the expense of processing paper forms, reducing the opportunity for fraud, and streamlining the otherwise laborious process.  He also played a key role in the recent launch of GCG’s online voting platform, which is part of GCG’s “next generation” milieu of services, and far exceeds industry standards for accessibility, facility, and practical application.
