On January 14, 2003, Regus Business Centre Corp. and its affiliate Stratis Business Centers Inc. filed voluntary petitions for reorganization under Chapter 11 of the US Bankruptcy Code. Two related companies, Regus Business Centre BV and Regus PLC, also filed. The company filed in the US Bankruptcy Court for the Southern District of New York. The cases are jointly administered under lead case number 03-20026, and are assigned to the Honorable Adlai S. Hardin Jr. On August 27, 2003 an Order was entered dismissing the Chapter 11 case of Stratis Business Centers Inc.

The Bankruptcy Court set April 7, 2003 as the deadline for filing proofs of claim. Creditors holding any claim against a Debtor that arose prior to January 14, 2003 were required to deliver a completed and signed original proof of claim, together with accompanying supporting documentation, if by mail, to Clerk of the United States Bankruptcy Court, Southern District of New York, Re: Regus Claims Processing, Bowling Green Station, P.O. Box 5060, New York, NY 10274-5060 or by hand delivery or overnight courier, to Clerk of the United States Bankruptcy Court, Southern District of New York, Re: Regus Claims Processing, One Bowling Green, Room 534, New York, New York 10004. All claims were to be sent by mail, hand delivered or overnight courier, so as to be actually received by no later than 5:00 p.m. Eastern Time on April 7, 2003. The Debtors have already mailed a Proof of Claim form, along with a Notice of Bar Date to all its known creditors.

The Debtors filed their Proposed Joint Plan of Reorganization (the "Plan") and Disclosure Statement. By order dated September 25, 2003 (the "Order"), the United States Bankruptcy Court for the Southern District of New York approved the Disclosure Statement With Respect to the Joint Plan of Reorganization of Regus Business Centre Corp., Regus PLC, and Regus Business Centre B.V., filed by Regus Business Centre Corp. et al, as debtors and debtors in possession, and directed the Debtors to solicit votes with regard to the approval or rejection of the Plan. The Order established September 18, 2003 as the record date for determining the holders of pre-chapter 11 claims and the shareholders of Debtor Regus PLC entitled to vote on the Plan. Solicitation packages were mailed on October 3, 2003. All votes to accept or reject the Plan were to have been received by 5:00 p.m. Eastern Time on November 5, 2003. Any failure to follow the voting instructions included with the Ballot may have disqualified your Ballot and your vote.

A hearing to consider the confirmation of the Plan was held at 11 a.m. Eastern Time, on November 12, 2003, before the Honorable Adlai S. Hardin, Jr., United States Bankruptcy Judge, in Room 521 of the United States Bankruptcy Court for the Southern District of New York, 300 Quarropas Street, White Plains, New York 10601.
