On May 12, 2003, Magnatrax Corporation filed voluntary Chapter 11 petitions on behalf of itself and 16 related companies in the United States Bankruptcy Court for the District of Delaware. These cases are being jointly administered under lead case number 03-11402 (PJW), and are assigned to the Honorable Peter J. Walsh.

The Bankruptcy Court set Monday, September 8, 2003 at 4:00 p.m. (Eastern Time) as the deadline for filing Proofs of Claim. Creditors who hold a claim against Magnatrax Corporation, (or any of its affiliated Debtors), that arose prior to May 12, 2003 had to have delivered a completed and signed Proof of Claim with supporting documentation, if by mail to: Magnatrax Corporation, PO Box 9000 #6109, Merrick, NY 11566-9000 or, if by hand or overnight courier, to: The Garden City Group, Inc., Attention: MTX Claims Processing, 105 Maxess Road, Melville, NY 11747.

The Debtors filed with the United States Bankruptcy Court the Debtors' Fifth Amended and Restated Joint Plan of Reorganization Under Chapter 11 of the Bankruptcy Code and Fifth Amended and Restated Disclosure Statement on September 17, 2003.

On September 17, 2003, the Court entered an order approving the Disclosure Statement and the Debtors' solicitation procedures.

A hearing to consider the confirmation of the Plan was held before the Honorable Peter J. Walsh, United States Bankruptcy Judge, in the United States Bankruptcy Court for the District of Delaware, 824 Market Street, 6th Floor, Wilmington, Delaware 19801. Following the hearing, an order was entered on November 17, 2003 confirming the Fifth Amended Joint Plan of Reorganization.
