On February 3, 2010, Spheris, a leading global provider of clinical documentation technology and services, announced that it had entered into an agreement under which MedQuist, Inc. and CBay Inc., portfolio companies of CBaySystems Holdings Ltd. and leading providers of medical transcription software and services, had agreed to purchase substantially all of Spheris’ assets pursuant to a transaction to be implemented under Section 363 of the United States Bankruptcy Code.
In order to commence the sale process, Spheris and certain of its affiliates filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the District of Delaware (the “Court”).
On April 15, 2010, the Court entered an order authorizing the sale of Spheris' assets and the stock of its non-debtor subsidiary, Spheris India, to MedQuist, Inc. and CBay Inc. On April 22, 2010, the sale closed. To view a copy of the Sale Order, please click here.
Bar Date Information
On May 13, 2010, the Bankruptcy Court entered an order (the "Bar Date Order") setting the deadline for parties to file claims against the Debtors. Pursuant to the Bar Date Order, a party seeking to assert a claim against any of the Debtors must complete, sign, and return its Proof of Claim form to the Garden City Group on or before June 18, 2010 at 4:00 p.m. (prevailing Eastern Time) (the "General Bar Date"). For "Governmental Units" (as defined in section 101(27) of the Bankruptcy Code), the deadline to submit a claim against any of the Debtors is August 2, 2010 at 4:00 p.m. (prevailing Eastern Time) (the "Governmental Bar Date").
The Bar Date Order also establishes 4:00 p.m. (prevailing Eastern Time) on June 18, 2010 (the "Administrative Claim Bar Date") as the last date for parties to assert an administrative expense claim, allowable under sections 503(b) and 507(a)(2) of the Bankruptcy Code, against the Debtors which arose from the Petition Date (February 3, 2010) through and including April 30, 2010, or which may be entitled to administrative expense priority under section 503(b)(9) of the Bankruptcy Code.
